By accessing or using KickOff Mauritius ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

KickOff Mauritius provides:

• Knowledge Hub: Free guides and resources for starting and running a business in Mauritius
• Consultancy Services: Paid services including company incorporation, business planning, branding, website development, and more
• Service Provider Directory: A curated directory of verified business service providers in Mauritius

3. User Accounts and Listings

3.1 General Users

You may browse our knowledge hub and contact us without creating an account. When contacting us or requesting services, you agree to provide accurate and complete information.

3.2 Directory Listings

If you apply for a directory listing, you agree to:

• Provide accurate, current, and complete business information
• Maintain and update your information as needed
• Not misrepresent your services, credentials, or experience
• Pay applicable listing fees on time
• Respond to client inquiries in a professional and timely manner

We reserve the right to verify your information and reject or remove listings that do not meet our quality standards.

4. Our Services

4.1 Consultancy Services

When you purchase our consultancy services:

• Pricing and timelines are estimates and may vary based on project complexity
• Payment is required before work begins, unless otherwise agreed
• You will receive a detailed scope of work before project commencement
• Refunds are handled on a case-by-case basis (see Refund Policy below)

4.2 Referral Services

For referral services (e.g., accountant referrals), we connect you with third-party service providers. We are not responsible for the quality or outcomes of services provided by these third parties. Any agreements are directly between you and the service provider.

5. Payments and Billing

5.1 Service Fees

All fees are stated in Mauritian Rupees (Rs) unless otherwise specified. Prices are subject to change with notice. Current clients will be honored at agreed-upon pricing.

5.2 Directory Listing Fees

Directory listings are billed monthly in advance. Accepted payment methods:

• Bank transfer
• Mobile money (Juice, MyT Money)
• Credit/Debit cards

5.3 Cancellation

Directory listings can be cancelled anytime with no penalties. Cancellation takes effect at the end of the current billing period. No refunds for partial months.

6. Refund Policy

6.1 Consultancy Services

• Before work begins: Full refund available
• Work in progress: Prorated refund for work not yet completed
• Completed work: No refund, unless significant quality issues (case-by-case basis)

6.2 Directory Listings

Setup fees are non-refundable. Monthly fees are non-refundable but you can cancel for future months anytime.

7. Intellectual Property

7.1 Our Content

All content on KickOff Mauritius (guides, templates, designs, logos, text, graphics) is owned by us or our licensors and is protected by copyright and intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.

7.2 Work Product

For consultancy services, you own the final deliverables once full payment is received. We retain the right to use the work in our portfolio unless otherwise agreed.

7.3 User Content

Content you submit (directory listings, reviews, comments) grants us a license to use, reproduce, and display that content on our platform.

8. Prohibited Uses

You may not use our Service to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Transmit harmful or malicious code
• Harass, abuse, or harm others
• Impersonate others or provide false information
• Spam or send unsolicited communications
• Scrape or data mine our content
• Interfere with the proper functioning of the Service

9.1 Information Accuracy

While we strive to provide accurate information, our knowledge hub content is for general guidance only and should not be considered legal, financial, or professional advice. Always consult with qualified professionals for your specific situation.

9.2 Third-Party Services

We are not responsible for the actions, services, or products of directory-listed providers or third-party referrals. We do not guarantee results or outcomes.

9.3 Service Availability

We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free. We reserve the right to modify or discontinue the Service at any time.

10. Limitation of Liability

To the maximum extent permitted by law, KickOff Mauritius shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.

11. Indemnification

You agree to indemnify and hold harmless KickOff Mauritius, its contractors, and licensors from any claims, losses, damages, liabilities, including legal fees, arising out of your use of the Service or violation of these Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Mauritius, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Mauritius.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or a prominent notice on our website. Continued use of the Service after changes constitutes acceptance of the new Terms.
